答复：1.对提交并购重组委审议的行政许可事项：审核结果为无条件通过或未通过的，财务顾问应于重组委会议召开后两个工作日内来我部进行封卷；审核结果为有条件通过的，财务顾问应于申请人落实重组委审核意见后两个工作日内来我部进行封卷。2.对要约收购义务豁免类行政许可事项，财务顾问应于取得核准批文后两个工作日内来我部进行封卷。3.财务资料过期的，财务顾问应及时报送更新后的财务资料；封卷时间在前述时间基础上延后，于更新财务资料后两个工作日内来我部进行封卷。4.财务顾问应在领取核准批文两个工作日内，来我部核对并确认封卷信息。

Reply: 1. For the administrative licensing affairs submitted to merger, acquisition and restructuring committee for deliberation: if the result of approval and examination for such affairs is unconditionally passed or fails to be passed, the financial advisor shall seal before supervision department of CSRC within two working days after the meeting of restructuring committee is convened; if the result of approval and examination for such affairs is conditionally passed, the financial advisor shall seal before supervision department of CSRC within two working days after applicant puts the opinions of approval and examination from restructuring committee into practice. 2. For the administrative licensing affairs about exemption of tender offer obligation, the financial advisor shall seal before supervision department of CSRC within two working days upon acquiring approved documents. 3. If the financial materials are overdue, financial advisor shall timely submit the updated financial materials; in case that seal time is later than above-mentioned time, financial advisor shall seal before supervision department of CSRC within two working days upon update of financial materials. 4. Financial advisor shall check and confirm the information to be sealed before supervision department of CSRC within two working days upon receiving approved documents.
