答复：自然人及其近亲属符合《上市公司收购管理办法》第八十三条第二款第

（九）项规定以及第（十二）项“投资者之间具有其他关联关系”的情形，如无相反证据，应当被认定为一致行动人。

Reply: A natural person and his/her close relatives meet the provisions of Article 83.2(9) of the Measures for the Management of Listed Companies Acquisition and the situations “other association relationships between investors” as set forth in Article 83.2(12) thereof, and if there is no contrary proof, such natural person and his/her close relatives shall be deemed as persons acting in concert.
