《授权许可协议》是我们在法律翻译中经常会遇到的一种协议类型的翻译，比如《专利和专有技术许可协议》、《XX产品销售授权许可协议》、《音乐作品授权使用协议书》等等。在这些协议中，经常会出现“许可”、“许可方”、“被许可方”、“授权商”、“被授权商”等术语，翻译时应该使用哪个词比较贴切呢，且看下文分析。

许可“License”。维基百科中对license的解释是这样的：A license (American English) or licence (British English) is an official permission or permit to do, use, or own something (as well as the document of that permission or permit). A license can be granted by a party to another party as an element of an agreement between those parties. A shorthand definition of a license is "an authorization to use licensed material." 许可即指授权人允许他人做某种行为、使用或拥有某种东西的权利。如《专利和专有技术许可协议》可以译为“Patent and Know-how License Agreement”，《音乐作品授权使用协议书》“Music Works License Agreement”。当然，license除了有“许可、特许权”的意思之外，还可表示“许可证；特许证；执照”，如营业执照“Business License”。当然，就专利许可而言，其效力是次于专利转让（patent assignment）的。

“许可方”、“被许可方”。许可用“license”表示，那么相应的“许可方”、“被许可方”也就可以分别用“licensor”和“licensee”表示，有时许可协议中还会出现“分许可方”，这时可在“licensee”后面加上一个表示从属、附属意义的词缀“sub”，用“sub-licensee”来表示，但出现分许可方的前提是许可方同意在合同上明文规定被许可方在规定的时间和地区实施其专利的同时，被许可方还可以以自己的名义，再许可第三方使用该专利。同时，汉语中也常常会使用授权使用来表示许可的含义，在这种情况下，协议中的“授权方”和“被授权方”、“授权商”和“被授权上”也可用英文的“licensor”和“licensee”表示。

授权/许可区域、授权/许可期间、授权/许可内容。除此之外，《授权许可协议》中一般会对授权/许可区域、授权/许可期间、授权/许可内容进行规定，这些术语分别可翻译为“License Territory”、“License Period”和“Licensed Content”。

例1：

The Licensor shall use its best efforts to continuously promote and advance the development of the Contractual Know-How in the future. However, the Licensor does not have an obligation vis-a-vis the Licensee in this regard.

许可方未来应尽其最大努力推进合同专有技术的开发，但就此而言，许可方不对被许可方承担任何义务。

例2：

本协议自双方签署之日起生效，本协议有效期间至授权期间届满之日止。如A延迟提供相关文件和资料，B保留相应顺延授权期限和本协议期限的权利。

This agreement shall take effect from the date of execution by both parties and shall remain in force until the date of expiration of the License Period. If A delays in providing relevant documents and data, B reserves the right to extend the License Period and the term of this agreement accordingly.
