Factoring
Factoring is a financial transaction and a type of debtor finance in which a business sells its accounts receivable (i.e., invoices) to a third party (called a factor) at a discount. A business will sometimes factor its receivable assets to meet its present and immediate cash needs. Forfaiting is a factoring arrangement used in international trade finance by exporters who wish to sell their receivables to a forfaiter. Factoring is commonly referred to as accounts receivable factoring, invoice factoring, and sometimes accounts receivable financing. Accounts receivable financing is a term more accurately used to describe a form of asset based lending against accounts receivable. The Commercial Finance Association is the leading trade association of the asset-based lending and factoring industries.
If you receive the payment under such contract prior to the expiration of this factoring, you are allowed to directly use the payment to repay the factoring funds.
Recourse Factoring
Recourse factoring is the most common and means that your company must buy back any invoices that the factoring company is unable to collect payment on. You are ultimately responsible for any non-payment.
Non-recourse Factoring
Non-recourse factoring means the factoring company assumes most of the risk of non-payment by your customers. Non-recourse does not necessarily protect your company from all risk, though. There are usually stipulations associated with non-recourse factoring, and the situations in which you are not responsible for customer non-payment are very specific.
Whether your company plans to pursue recourse or non-recourse factoring, it is important to sit down with a reputable factoring company to discuss their terms. It may be to your advantage to find a factor that offers both recourse and non-recourse factoring. A factoring company with a strong credit team can also help you avoid working with customers that have poor payment histories.
Disclosed Factoring
The factoring in which the factor’s name is indicated in the invoice by the supplier of the goods or services asking the purchaser to pay the factor, is called disclosed factoring.
“Disclosed Factoring” refers to the factoring for which the assignment of the creditor's right of the accounts receivable should be informed to the Purchaser simultaneously when the factoring procedures are transacted.
Undisclosed Factoring
Conversely, the form of factoring in which the name of the factor is not mentioned in the invoice issued by the manufacturer. In such a case, the factor maintains sales ledger of the client and the debt is realized in the name of the firm. However, the control is in the hands of the factor.
“Undisclosed Factoring” refers to the factoring for which the assignment of the creditor's right of the accounts receivable is not informed to the Purchaser in temporary as agreed by Party A and Party B provided that the Purchaser shall be informed of the assignment of the creditor's right of the accounts receivable for factoring when conditions agreed upon by Party B and the company occur or the company deems it necessary.
Factoring Contract
(The International Institute for the Unification of Private Laws,简称UNIDROIT)在其1988年5月28日订立、1995年5月1日生效的《国际保理公约》(The Convention International Factoring)第一条中对保理合同做出的定义是:
A factoring contract is entered into between a business and a factoring company when they begin the invoice factoring process. This is the point in the relationship when the business assures the factor that they will sell their invoice in order to be advanced a specific percentage. More specifically, this factoring contract is a financial agreement that outlines the costs and terms of accounts receivable factoring for your business, such as which fees will be charged and how much they will cost.
