(I) Party A's trade secrets include Party A's original trade secrets and inventions, copyrights, computer software copyrights, technical secrets or other trade secrets generated from Party B's performance of its duties.

甲方的商业秘密包括甲方的初始商业秘密、发明、版权、计算机软件版权、技术机密或其他商业秘密或其他在乙方履行责任时产生的商业秘密。

(II) Party A's trade secrets include, but are not limited to the following:

甲方的商业秘密包括但不限于以下：

1. Business information: including, but not limited to, the original structure, development strategy, plans and operations of the company and its customers; research report and feasibility study report; the contents of intentions, contracts,agreements between the company and its customers or partners, articles of associations and other legal documents; negotiation plans. Negotiation contents, minutes of meetings and resolutions; business channels; suppliers, sale channels, customer lists, intermediary and partners; product costs, transaction prices and profit rates; sales strategy and plans;base number of a bid or a tender and bidding documents.

商业信息：包括但不限于初始结构、发展策略、计划及公司和其客户的运营；研究报告和可行性研究报告；发明内容、公司与其客户或合作伙伴的合同或协议、公司章程和其他合法文件；谈判计划、会议记录和解决方案；商业渠道；供应商、销售渠道、客户列表、中介人及合作伙伴；产品成本、交易价格和利润率；销售策略和计划；投标底价和投标文件。

2. Technical information: including, but not limited to, technical solutions, engineering design, circuit design, manufacturing methods, computer software, databases, research and development records, technical reports, test reports, experimental data, experimental results, drawings, samples, prototypes, models, mould, operating manuals, technical documentations, related correspondences,etc.

技术信息：包括但不限于技术解决方案、工程设计、电路设计、制造方法、计算机软件、数据库研发记录、技术报告、检测报告、实验数据、实验结果、草图样本、技术原型、模型、模具、操作手册、技术文件及相关通信等。

3.  Financial information: including, but not limited to, financial books and statements;salary, bonus, welfare distribution plans; the Company's profits and losses; bank account number and deposits.

财务信息：包括但不限于财务账簿和报表；薪水、奖励及福利分配计划；公司盈亏；银行账号和存款。

4. Personnel information: including, bu not limited to, the Company's personnel files, major personnel changes in the company, personal information of key management personnel, and recruitment and layoff plans.

人事信息：包括但不限于公司的人事档案、重大人事变化、管理层人员的人事信息及招聘及裁员计划。

5. Decision information: including, but not limited to, investment plans, plans for acquisition, merger, consolidation, liquidation, bankruptcy and division; litigation and arbitration to be commenced; or litigation and arbitration under non-public hearing; corporate image design, advertising plans and activity plans.

决策信息：包括但不限于投资计划及收购、兼并、合并、清算、破产和分立计划；即将开始的诉讼和仲裁或不公开审理的诉讼和仲裁；公司形象设计、广告方案及活动方案。

6. Other trade secrets Party B is required to undertake the obligation of confidentiality by party A in accordance with laws, administrative rules and regulations, agreements and relevant confidentiality rules and regulations of party A.

根据法律、行政规章制度、协议及甲方的相关保密规则和制度，乙方需向甲方承担保密义务的其他商业秘密。

Party A's confidential information means any proprietary information, technical data, trade secrets or know-how, including, but not limited to,research, patterns, plans, compilations, inventions and developments, products,formulas, designs, prototypes, methods, techniques, processes, procedures, computer programs and software, database, development plans, records for research and development, technical report, inspection report, experimental data, operation manual, technical documentation, technologies, hardware configuration information, yield data, equipment modifications, services, customer lists and customers, supplier lists, partners, markets,pricing, marketing, finances, salary, legal business or other business information of Party A disclosed to Party B or obtained by Party B from Party A either directly or indirectly in writing, orally or by drawings or observation of parts or equipment. Confidential information may be a complete set of plan, documentation or product, and may also be part of the information or elements of the complete set of plan, documentation or product. The Parties further understand that Confidential information does not include any of the foregoing items which has become publicly known and made generally available through no wrongful act of Party B or of others who were under confidentiality obligations as to the item or items involved

甲方保密信息包括任何专有信息，技术资料，商业秘密或专有技术，包括但不限于调查研究、模式、计划、汇编物、发明与创造、产品、公式、设计、模型、方法、技术、过程、程序、计算机程序及软件、数据库、开发计划、研究开发记录、技术报告、检测报告、实验数据、操作手册、技术文档、技术、硬件配置信息、产量、设备变更、服务、客户名单和客户、供应商名单、合作方、市场、定价、营销、财务、工资、法律事务以及向乙方透露的、乙方直接或间接从甲方获得的书面的或口头的、从图纸或对设备和零部件的观测中获得的其它甲方商业信息。保密信息可以是一份完整的方案、文件或产品，也可以是某一方案、文件或产品中的部分数据或部分要素。双方进一步理解保密信息不包括上述项目中已经公开的和乙方有关或由相关保密义务的其他人通过正当手段可以获得的信息。
