In the event that the receiving party is compelled, by deposition, interrogatory, subpoena or civil investigative demand or other government or regulatory requirement, to disclose any of the Confidential Information, the receiving party will provide the disclosing party with prompt notice thereof so that the disclosing party may seek an appropriate order or other remedy and/or waive compliance with the provisions hereof and the receiving party shall provide reasonable cooperation as may be requested by the disclosing party in connection therewith. If such protective order or other remedy is not obtained promptly, the receiving party may furnish that portion of the Confidential Information, which, in the written opinion of the counsel, the receiving party is legally required to disclose and will exercise its best efforts to obtain reliable assurance that confidential treatment will be accorded any Confidential Information so furnished.

如果接收方因处分、质询、传票、民事调查传票或政府或法规要求被迫披露任何保密信息，接收方应及时书面通知披露方，以使其依照本协议条款寻求适当的法令或其他救济和/或放弃，且接收方应依照披露方的相关合理要求（如有）予以配合。如果未能及时获得以上保护令或其他救济，接收方可提供律师书面意见中接收方需依法披露的保密信息部分，并尽其最大努力保证其所提供的保密信息获得可靠的保密处理。

In the event that the Recipient becomes compelled to disclose any of the Confidential Information under Relevant Clause above, as far as legally permitted, it will provide the Discloser with prompt notice thereof so that the Discloser may seek a protective order or other appropriate remedy against the disclosure, and in any event will limit the disclosure to the greatest extent reasonably possible under the circumstances.

In the event that any party is requested or becomes legally compelled to disclose Confidential Information, such party(the “Receiving Party”) shall provide the other party hereto with prompt written notice of that fact and shall consult with the other party hereto regarding such disclosure. The Receiving Party shall, to the extent possible and with the cooperation and reasonable efforts of the other party, seek a protective order, confidential treatment or other appropriate remedy. In such event, the Receiving Party shall furnish only that portion of the information which is legally required and shall exercise reasonable efforts to obtain reliable assurance that confidential treatment will be accorded such information.
